What we do, in detail

Four functions, carried out for the group's own subsidiaries.

Program 01 · Answerable at any time

Shareholdings & governance

Banks, insurers, auditors and counterparties all eventually ask the same question: who owns what, and who is entitled to decide. We keep that answerable on any given day — current registers, signed resolutions for decisions that need them, and articles that match how the group actually operates.

Stage 1 · Inventory

Every subsidiary and shareholding.

Stage 2 · Documents

Articles and agreements current.

Stage 3 · Decisions

Recorded by resolution.

Stage 4 · Maintained

Updated whenever anything changes.

Stage 1 · One format

Same pack across subsidiaries.

Stage 2 · Calendar

Board dates set for the year.

Stage 3 · Consolidation

Comparable, because it is consistent.

Stage 4 · Decisions

Taken at the board and minuted.

Program 02 · A rhythm, not a scramble

Group reporting & board cycle

Subsidiaries reporting in their own formats and on their own timetables cannot be compared or consolidated. One pack, one calendar and one set of definitions makes the group legible — to its directors first, and to a lender or auditor second.

Program 03 · Nothing struck off

Statutory filings & records

Companies House strikes off companies that miss filings, and it happens to well-run groups simply because nobody held the calendar. We hold it for every subsidiary — confirmation statements, accounts deadlines, PSC records and insurance renewals, with reminders well ahead.

With obligations met.

Program 04 · Decided, not drifted

Capital allocation

Each subsidiary is reviewed annually against what was expected of it, and the group's own capital is allocated deliberately rather than by habit. That includes the uncomfortable conclusions — restructuring something, or deciding a business has had its last round of support.
